Terms of Service

Welcome to PointLocal! We build software to help municipalities run smoother, not to trap them in restrictive contracts. To prove it, we’ve included a short, plain-English summary at the top of each section so you know exactly what you are agreeing to.

By using our platform, you (the Municipality) agree to the following terms with PointLocal LLC. Please note that your use of our platform is also governed by our Privacy Policy.

1. Subscription & Cancellation

The Plain English Version: You are on a month-to-month plan. There is no long-term vendor lock-in. If you don’t love it, you can cancel at any time directly in your account or by emailing us, and you will never be billed again after your current month ends.

1.1 Term: This Agreement begins on the date of your initial setup payment or the date of your first generated invoice, and continues on a month-to-month basis.

1.2 Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your currently paid billing cycle. We do not require 30 days’ advance written notice, and there are no early termination fees.

1.3 Refunds: Because we do not lock you into annual contracts, payments are non-refundable. If you cancel mid-month, you will retain access to the platform until the end of your billing cycle.

2. Billing & Payments

The Plain English Version: We bill you monthly. We know town finance departments take time to process invoices, so we give you Net 30 terms plus a 15-day grace period before we ever interrupt your service.

2.1 Invoicing: PointLocal will issue invoices monthly. Payment is due Net 30 from the invoice date.

2.2 Grace Period: If payment is not received within the 30-day window, PointLocal provides a 15-day grace period. If an invoice remains unpaid 45 days after the issue date, PointLocal reserves the right to suspend platform access until the account is brought current.

2.3 Pricing Changes: We may update our pricing from time to time, but we will always notify you at least 30 days before any price change takes effect.

3. Your Data is Yours (Data Ownership, Portability & Privacy)

The Plain English Version: You own all of your town’s data and your citizens’ data. If you decide to leave PointLocal, we won’t hold your records hostage. We make it easy to export your information, and our strict privacy rules are outlined in our Privacy Policy.

3.1 Ownership & Roles: The Municipality retains 100% ownership of all data, documents, inquiries, and records submitted to or processed by the PointLocal platform, including data submitted by residents (“Customer and Resident Data”). The Municipality acts as the Data Controller, and PointLocal acts solely as the Data Processor. PointLocal claims no ownership rights over your data.

3.2 Data Export: Upon cancellation, the Municipality has the right to securely export their data in a standard, readable format (such as CSV). PointLocal will provide reasonable access to facilitate this export for 30 days following cancellation.

3.3 Privacy Commitments: PointLocal’s specific practices regarding data security, our refusal to sell data, and our protections against training public AI models with private data are detailed in our Privacy Policy, which is incorporated by reference into this Agreement.

4. Digital Forms & Custom Development

The Plain English Version: We handle the heavy lifting of getting your town online. We’ll build up to 20 of your standard forms and permits into our system for free. If you have a massive library of forms, or if you need a very complex, multi-step automation that doesn’t exist in our standard toolkit, we can certainly build it for you—but it may require a separate “Extended Configuration” quote for the extra time and customization involved.

4.1 Standard Form Included: PointLocal provides a turnkey experience. As part of your subscription, we will build and digitalize up to twenty (20) of your municipality’s standard forms (e.g., permit applications, licenses, or inquiry forms).

4.2 Advanced Form Complexity: Standard digitalization applies to forms with straightforward data collection and internal routing. Forms or workflows requiring advanced conditional logic, multi-department sequential approvals, or external data-source integrations are considered “Advanced Configurations.” While we aim to accommodate all requests, Advanced Configurations may fall outside the standard free implementation scope.

4.3 Custom Development: We are happy to build fully customized features or bespoke software integrations for your municipality. Because these requests go beyond our standard platform offerings, they may be quoted as a separate project at an additional cost based on development hours and complexity.

4.4 Extended Configuration Quotes: If the Municipality requires the digitalization of more than 20 forms, or the construction of Advanced Configurations as defined in Section 4.2, PointLocal may apply an “Extended Configuration” quote. All such work must be agreed upon in writing before the Municipality is billed for the additional labor.

5. AI Tools & Content Disclaimer

The Plain English Version: Our AI assistants (LocalAgents) are incredibly smart, but they are still AI. They might occasionally get a detail wrong. It is your responsibility to review important information, and we cannot be sued if the AI gives a resident a piece of inaccurate advice.

5.1 Nature of AI: PointLocal incorporates artificial intelligence to assist with resident inquiries and internal workflows. While we train your specific AI assistants strictly on the publicly available municipal data you provide to ensure high accuracy, AI-generated responses are dynamic and may occasionally contain errors or omissions.

5.2 Customer Responsibility: The Municipality is solely responsible for verifying the accuracy of critical information provided by the platform.

5.3 No Liability for AI Output: PointLocal shall not be held liable for any claims, losses, or damages resulting from actions taken by the Municipality or its residents based on information generated by our AI tools.

6. Limitation of Liability

The Plain English Version: If our software glitches and your town loses productivity, we aren’t liable for those indirect losses. The absolute maximum we could ever owe you in a dispute is the amount you paid us over the last 12 months.

6.1 Cap on Liability: To the maximum extent permitted by law, PointLocal’s total liability for any claims arising out of or relating to this Agreement shall not exceed the total amount paid by the Municipality to PointLocal during the twelve (12) months immediately preceding the event giving rise to the claim.

6.2 Exclusion of Consequential Damages: Under no circumstances shall PointLocal be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages.

7. Service Availability & Security

The Plain English Version: We use enterprise-grade security (AWS) to keep your data safe and aim for 99.9% uptime, but the internet isn’t perfect, so occasional downtime may happen.

7.1 Uptime: PointLocal strives to provide uninterrupted access to the platform. However, the platform is provided on an “AS IS” and “AS AVAILABLE” basis. We do not warrant that the service will be entirely error-free or uninterrupted.

7.2 Security: PointLocal employs industry-standard security measures (including data encryption) to protect Customer and Resident Data from unauthorized access.

8. General Provisions

8.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law principles.

8.2 Modifications: PointLocal reserves the right to modify these Terms of Service. We will provide written notice of any material changes via email or through the platform dashboard.
